Terms of sale
How we sell, what we promise, and what happens when something goes wrong.
1. Who you are contracting with
These terms govern sales by Cold Aisle Ltd, a company registered in England and Wales. They apply to business customers. We do not sell to consumers, so consumer distance-selling rights do not apply.
2. Orders and pricing
Prices shown exclude VAT, which is added at checkout at the prevailing rate. An order is accepted when we confirm it in writing, not when it is placed. Where a listed price or stock figure is obviously wrong we may decline the order and refund in full rather than fulfil it.
Quantity break pricing applies per line, per order. Quotations are valid for 14 days and stock on quoted lines is held for 48 hours.
3. Payment
Card orders are paid before despatch. Approved trade accounts are due 30 days from invoice date. Overdue accounts carry statutory interest under the Late Payment of Commercial Debts (Interest) Act 1998, and we may suspend further despatch while an account is in arrears.
4. Delivery and risk
Delivery dates are estimates given in good faith. Risk passes on delivery; title passes on payment in full. Shortages or damage in transit must be reported within three working days of delivery.
5. Warranty
Warranty periods are stated per line and run from the despatch date. Warranty covers functional failure in normal use. It does not cover physical damage, modification, use outside manufacturer specification, or failures caused by the surrounding system. Our obligation is to repair, replace or refund at our option.
6. Returns
Unused goods in resaleable condition may be returned within 30 days of delivery for a full refund; return carriage is the customer's. Configured-to-order systems cannot be returned once built. Faulty goods are returned at our cost.
7. Liability
We do not exclude liability for death or personal injury caused by negligence, or for fraud. Subject to that, our total liability for any order is limited to the price paid for that order, and we are not liable for loss of profit, loss of data, or business interruption. Customers are responsible for their own backups and for testing hardware before putting it into production.
8. Data on returned or purchased equipment
Where we purchase equipment from you, we erase all storage media to NIST 800-88 Purge and issue certificates by serial number. Where you return equipment to us, you remain responsible for removing your data before it leaves your control.
9. Governing law
These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
